Terms of Service

The terms that govern the ModelCop website and, together with your subscription agreement, the platform.

01Agreement & order of precedence

Your use of the ModelCop platform is governed by the written Master Subscription Agreement (MSA) and order form between you and ModelCop LLC. These website terms govern your use of this site. If these terms conflict with your MSA, the MSA controls.

02Eligibility & accounts

You must be authorized to act for your organization to create or use an account. You are responsible for activity under your credentials and for keeping them secure, and for ensuring your authorized users comply with these terms.

03Acceptable use

  • Don't misuse the site or platform, or use them unlawfully.
  • Don't attempt to breach security, or probe, scan, or test it without authorization (see our responsible disclosure process).
  • Don't interfere with or disrupt the integrity or performance of the service.
  • Don't resell or provide the service to third parties except as your agreement permits.

04Customer data & ownership

As between the parties, you own your data. You grant ModelCop the limited rights needed to provide the service. ModelCop does not use customer data to train shared foundation models, as described in our Privacy Policy.

05Automated & AI-assisted analysis

ModelCop's detection, classification, and triage are decision support. Automated and AI-assisted analysis can produce false positives and false negatives, and is not a substitute for human oversight, professional judgment, or legal/compliance advice. You remain responsible for decisions made using the platform.

06Intellectual property

This site, the platform, and the ModelCop name and marks are owned by ModelCop LLC (MODELCOP™, USPTO Serial 99841440). Third-party product names and marks belong to their respective owners and are used for identification only, with no implied endorsement or affiliation.

07Third-party services

The platform integrates with third-party systems you choose to connect. Your use of those systems is governed by their own terms, and ModelCop is not responsible for third-party services.

08Fees

Fees, billing, and payment terms are set out in your order form and MSA (standard terms: annual contracts, net-30). Unless your agreement says otherwise, fees are non-refundable.

09Service level

ModelCop targets 99.9% monthly uptime for the production platform, measured as the percentage of minutes in a calendar month during which the platform is available, excluding scheduled maintenance windows (notified at least 48 hours in advance), events caused by your actions or third-party services outside ModelCop's control, and force majeure events.

Credits must be requested within 30 days of the affected month by emailing hello@modelcop.ai with the dates and duration of the outage. Credits are applied to future invoices and are your sole remedy for uptime failures. Total credits in any month may not exceed 50% of fees for that month.

10Warranties & disclaimers

Except as expressly stated in your MSA, the site and platform are provided "as is" and ModelCop disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11Limitation of liability

To the maximum extent permitted by law, ModelCop is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits or data, arising from use of the site or platform. Liability is otherwise limited as set out in your MSA.

12Term & termination

Platform term and termination are governed by your MSA. We may suspend or terminate website access for violation of these terms. On termination, the data provisions of your MSA govern return and deletion of customer data.

13Governing law & venue

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, with exclusive venue in the state and federal courts located in Dallas County, Texas.

14Changes

We may update these website terms; the effective date above reflects the current version. Platform terms change only as provided in your MSA.
